Our Public Finance team is pleased to be participating in the National Association of Bond Lawyers (NABL) Workshop taking place in Chicago, Illinois on September 11-13, 2019.
Partner Alexandra (Sandy) MacLennan will chair the panel discussion on “Hot Topics in Securities Law.” This panel will include practitioners and securities regulators discussing the latest federal securities law issues facing the municipal bond market, with a focus on how bond lawyers may assist their clients in addressing these issues. Key discussion points include implementation of financial obligation disclosure under SEC Rule 15c2-12; securities liability for post-issuance disclosure; disclosure of risk factors; and a review of the past year’s municipal securities litigation and enforcement activity.
Partner John Hutchinson will chair the panel discussion, "Tax Issues in 501(c)(3) Financings." This panel will address tax issues that arise in a typical qualified 501(c)(3) bond issue, including private business use arising from unrelated trade or business activities; the specific and less heralded 501(c)(3) bond requirements (including the ownership test, the limit on financing residential rental property,and what’s left of the US$150 million non-hospital bond limitation); issues relating to changes in borrower tax status and remedial actions; a brief discussion of 501(c)(3) counsel opinion standards; some lingering issues involving the final regulations on the TEFRA notice, hearing and approval requirements; and any current developments.
Partner Ryan Callender will participate in the panel discussion, “Ethics: Ethics and Technology.” This panel will take an in-depth look at the ethical issues surrounding the practice in municipal finance transactions and the application of ethics rules to selected topics, with an emphasis on communications between deal team participants.

The Workshop will offer up to 13.25 hours of CLE credit, which includes 5 hours of ethics credit and elimination of bias credit. In states with a 50-minute CLE hour, up to 15.9 hours of credit is anticipated, including 6 hours of ethics credit.
