Indemnities: From a Transaction Perspective vs. a Litigation Perspective

Indemnity clauses are present in almost every contract - some of them poorly drafted and unenforceable. An indemnity clause can achieve many things, from shifting the burden of a judgment from one party to another, to changing the scope of liability of a party.
