Laura Wang coordinates the China employment team and focuses on corporate matters including FDI, M&A issues and dispute resolution. She advises clients on analyzing legal risks, formulating strategy and negotiating with the opposing party, and represents clients in court or before arbitration panels. Laura has decades of experience, including three years with a US law firm and five years with two law firms in China.

In the past few years, Laura has been devoted to helping Chinese clients developing business globally. Her working experience in both China and the US helps Chinese clients to overcome the legal, commercial and cultural differences during their globalization.

Laura is a member of the All China Lawyers Association and the New York State Bar Association.

Laura is a contributor to the Employment Law Worldview blog, which aims to interest and educate, stimulate discussion, provoke and sometimes just to amuse with global insight into practical and legal HR issues relevant to employers everywhere.

  • Advising non-China-based investors on Chinese legal issues in the automotive, retail and distribution, silicon wafer manufacturing, transportation, pharmaceutical, home appliances and software industries.
  • Representing numerous multinational companies and their Chinese subsidiaries.
  • Assisting clients in the establishment, operation, acquisition and dissolution of foreign-invested enterprises including designing investment structures, conducting due diligence, issuing legal opinions, drafting and reviewing legal documents, and attending negotiations.
  • Advising non-China-based clients in solving disputes in China involving product liability, intellectual property, labor issues, international trade and debt payment.
  • Representing a leading global financial services firm in the first transaction in which foreign investors purchased distressed assets held by China-based financial institutions; assisting non-China-based investors in designing the transaction structure; conducting the due diligence investigation of the assets; drafting transaction documents; communicating with governmental agencies to remove legal obstacles; and advising on how to handle specific assets.

  • Assisting a Chinese multinational electronics company to monitor the EU and US government regulatory and policies, as well as assessing potential public policy risks and mitigated solutions, including offering a “heat map” of probable issues and likely impacts.
  • Assisting a Chinese multinational electronics company to conduct a retroactive risk assessment of completed transactions, provide pre-transaction risk assessment and recommendations, and prepare a customized CFIUS handbook for the company to aid the internal due diligence process.
  • Advising a listed Chinese manufacturer of LED products and chips on its acquisition of the Japanese facility of a Fortune 500 semiconductor manufacturing company, including assistance with the review of the SPA agreements and mandatory filings, such as antimonopoly and national security filings for the Japanese authorities, as well as CFIUS assessment in relation to the new regulations.
  • Representing a leading Chinese LED manufacturer (listed company) in several acquisition transactions in overseas markets.
  • Representing a leading Chinese software company (listed company) in several acquisitions in the US, Hong Kong and Japan.
  • Representing a Chinese fiberglass company in an acquisition in the Middle East.
  • Assisting a Chinese SOE in a London arbitration regarding an international sales contract and achieved a result to the satisfaction of the client.
