James Newman is an associate in our Corporate Practice, based in the Sydney office. James assists with equity capital raisings and corporate fundraising activities, corporate governance and structuring, as well as commercial transactions.

Prior to joining the Corporate team, James completed a graduate rotation in our Labour & Employment Practice, where he gained experience assisting with general employment law matters, including employment contracts; the application of federal and state workplace legislation, modern awards and other industrial instruments; and employment disputes and workplace investigations. James has also assisted with corporate insolvency matters, including bankruptcy proceedings and liquidations.

  • Assisting with advising Tamboran Resources Corporation on its corporate redomiciliation from Australia to the US, and its dual-listing on the New York Stock Exchange.
  • Assisting with reviewing and preparing commercial agreements and deeds, drafting Australian Securities Exchange (ASX) announcements and undertaking company secretarial duties.
  • Assisting with due diligence on the employment aspects of mergers and acquisitions, primarily for buyside clients.
  • Assisting with providing general employment law advice with respect to modern award coverage, employment contracts and appropriate workplace behaviour.
  • Preparing training materials for various corporate employers regarding bullying, discrimination, sexual harassment and workplace health and safety.
  • Assisting with reviewing complex industrial instruments to identify potential vulnerabilities for various clients.
