Louis Coleman is an associate in our office in Dublin. Louis advises on all aspects of corporate activities for a wide array of businesses both in Ireland and internationally. Louis has a wealth of experience advising on investments, M&A, employee share option plans, due diligence, shareholder agreements, shareholder disputes and corporate structures. Louis has dealt with investments from many types of investors, ranging from institutional investors such as Enterprise Ireland to various venture capitalists, facilitating negotiations with founders and current shareholders in addition to simultaneous investors.
- Advised on Enterprise Ireland PSSF and HPSU investments into startup companies and facilitated the matching funding investment requirement from private investors.
- Advised Irish companies from various industries receiving investments via debt and equity, ranging from pre-seed to Series A.
- Advised on the €7 million private equity sale of an Irish digital consulting company to an international buyer, including facilitating negotiations with the Bank of Ireland on the debt aspects of the deal.
- Advised on a €5 million investment in a sales tech company using both loan notes and warranties, including tax advice specific to the deal.
- Advised on the €8 million investment into an Irish green energy company, which included heavy negotiations on investor majority rights. Also advised on preliminary discussions to a €90 million Series A investment into the same company.
- Advised on various board, shareholder and founder disputes that were subsequent to an investment and an acquisition proceeding.
- Advised on the €200 million acquisition of Glofox by ABC Fitness Solutions.
- Advised an Irish consulting company on a full corporate restructuring, in cohesion with tax advisers, prior to the sale of that company.
- Advised on the implementation of various nominee structures, employee share option plans, share for share agreements, company incorporations, secretarial structures and other ancillary processes to larger deals.
- Advised on various corporate governance queries with founders and company executives.
