Recommended takeover offer for Macro 4 Plc

A team from Hammonds' Corporate department has advised global software company, Macro 4 plc, on a recommended cash offer for the Company by UNICOM Systems Inc. The offer, which values the Company at £33.4m, was announced to the market on 5 December.

Macro 4 has had a long standing relationship with the firm, advising them over a number of years. Patrick Gallagher, Chairman of Macro 4, commented that the merger will be beneficial for both Macro 4 employees and customers and that the combined company had a bright future. The intention is for Macro 4 to maintain its principal UK operating site in Crawley.

Jane Haxby commented: "The team worked very hard to get the offer announcement out in record time. It was an achievement to get this deal away in difficult market conditions and the merger will create exciting opportunities for the business, and for its customers and employees who will benefit from being part of a larger organisation. "

The deal was led by Manchester corporate partner Jane Haxby, with assistance from London corporate partners Giles Distin and Robert Bray and Birmingham senior associate Sarah Nicholson, who advised on Macro 4's share schemes. Support was provided by Rob Shakespeare, Alex Szehidewicz, and Patrick Ford. As such, this was very much a collaborative effort between Hammonds' Manchester, Birmingham and London offices.
