Lingyun (Leon) Zhuang is globally educated in the US, Japan and China, and he is one of the few lawyers who can assist clients in navigating through cross-border transactions concerning these three major jurisdictions. His practice focuses on cross-border corporate and commercial transactions, including FDI, M&A, international transactions, anti-monopoly, consumer issues and TMT industry. He also has significant experience in compliance, cross-border copyright licensing, anti-dumping and dispute resolution.

Leon began his career working for a Japanese multinational enterprise at its Tokyo headquarters. He has experience in a top-tier Japanese law firm at its Tokyo office previous to joining the firm and he also worked at one of our firm's US offices before being relocated back to Tokyo.

Leon is fluent in English, Japanese and Chinese. He has long-term residence, work experience and strong local connections in Japan, China and the US.

  • Assisted a leading Japanese trading company in its acquisition of a Central American retail business.
  • Assisted a leading Japanese electronics manufacturer, with respect to an anti-dumping investigation by the Indian government, including preparing the documentation and drafting answers to relevant questionnaires from the Indian government. (The Indian government finally decided not to impose any anti-dumping penalties on the company’s products imported to the country.)
  • Assisted and supported the due diligence for Japan’s largest forklift truck manufacturer in a deal acquiring shares from its Chinese counterparty, and advised on filing the anti-monopoly merger documentation with the relevant Chinese authority for its acquisition.
  • Assisted and supported the due diligence for a major German company in its acquisition of the Chinese affiliate of an international laboratory and process technology company.
  • Member of the contract negotiation team for the divestiture and sale of business by a major Japanese auto parts manufacturer to an overseas manufacturer.
  • Assisted a major Japanese audio equipment maker, on product liability-related issues, including defective product report regulations and recall regulations in China, Hong Kong and Taiwan.
  • Advised a listed Chinese media and film group, with respect to the company’s acquisition of the copyright of a well-known animation work from its Japanese counterparty.
  • Advised a famous Japanese film director as long-term legal counsel, and successfully assisted the director with respect to his cross-border film-making projects in Asia.
  • Establishment, withdrawal and liquidation of US operations for multiple Japanese companies’ US subsidiaries.
  • Preparation and drafting of legal opinions regarding the US and Japanese companies for multiple Chinese and Taiwanese clients in preparation for their Hong Kong listing.
