Jonathan Ross is a partner in the Corporate Practice, with extensive experience in mergers and acquisitions, strategic investments, private equity and joint venture transactions, including in the technology, financial services and real estate/infrastructure sectors. He also advises on group reorganisations and restructures.

Jonathan started his career in the corporate team of a city of London firm before relocating to Australia in 2006, where he worked in the Melbourne office of a global firm. He relocated to the UK in 2015.

Jonathan has significant experience dealing with in-house legal teams and has worked in-house, completing six-month secondments with both Shell (London) and BlueScope Steel (Melbourne).

  • Advised Amcor on the disposal of its Ilkeston conversion plant, which specialises in the manufacture of bread bags, to Canada-based packaging company St John’s Packaging.
  • Advised the Business Growth Fund (BGF) on the merger of Pharmacy2U and Chemist Direct and its subsequent investment in the merged business.
  • Advised Burton’s Biscuits on the acquisitions of Dorset Village Bakery Limited, which operated the Thomas Fudge’s brand and Paterson Arran Limited.
  • Advised Campus Living Villages, a student accommodation owner and operator, on the sale of its shares in two Jersey companies holding two separate portfolios to institutional investor Arlington, and the disposal of the shares in a Jersey company holding a portfolio of eight properties to Dutch institutional investor DIF.
  • Advised the shareholders of the Chaucer Foods Group on the US$130 million disposal to Nagatanien Holdings.
  • Advised ClearCourse on various acquisitions, including of EKM, eWorks, Adelante Software, GiftPro, Secure Collections and Club Systems International.
  • Advised Cott Corporation (now Primo Water) on the UK aspects of the US$1.25 billion sale of its traditional beverages business to Refresco.
  • Advised Evelyn Partners on the acquisitions of Index Wealth Management Limited and Dart Capital Limited.
  • Advised FORE Advisors on the disposal of a Jersey company holding a property at Windmill green in Manchester, the establishment of an assisted living joint venture, and the sale of a Jersey company holding the Tower Bridge Court project in London, plus a related joint venture with KKR.
  • Advised Heitman on the acquisition of the Space Station self-storage business via the acquisition of A Space Station plc.
  • Advised Imperial College Innovations on its investment in various spin off companies, including in relation to formation, ongoing investments and disposals.
  • Advised IP Integration on the acquisition of Managed Networks and advised the shareholders of IP Integration in relation to the investment by Ethos Partners.
  • Advised LDC on its investment in pest control product manufacturer Pelsis (which has operations in the UK, the US, the Netherlands, Denmark, Belgium, Switzerland and France).
  • Advised Ligentia on the acquisition of VGL Solid Group in Poland.
  • Advised the shareholders of Mercia Power on the sale to Foresight-managed Blackmead Infrastructure and related rollover, and on the establishment of two corporate joint ventures.
  • Advised the shareholders of Pharmacy2U Limited on the sale of a majority stake to healthcare private equity fund G Square and associated £40 million investment in the group.
  • Advised ScaleUp Capital on the acquisition of Instep UK Limited and related equity arrangements.
  • Advised SIG plc on the disposal of its £100 million turnover carpet and flooring business to Endless, and its circa £20 million disposal of SIG Buildings Plastics and SIG Windows to General All-Purpose Plastics.
  • Advised the Six Degrees Technology Group, a provider of integrated managed communication services, including datacentre co-location, managed hosting and cloud computing, on its acquisitions of Insite, the Sunrise Group and C24 and on subsequent reorganisation and refinancing transactions.
  • Advised TransUnion on various divestments, including the sale of the Noddle business to Credit Karma, as well as the recent investments in Monevo and Bud Financial.
  • Advised Twig Education on a series of investments, including a strategic investment from Imperial College, and the subsequent sale to Weld North Education.
  • Advised Yalumba, an Australian wine brand, on its investment in a UK wine distribution business.
