Andrew Fields is an associate in our Public & Infrastructure Finance Practice Group. Andrew has significant experience with a variety of revenue bond and conduit financing structures for municipalities, private schools and universities and airports, serving as bond counsel, underwriter’s counsel and borrower’s counsel. Andrew also has experience serving as bond counsel and underwriter’s counsel on various California state agency revenue bond transactions. He has assisted counties, cities and other government entities in the tax-exempt financing process to ensure efficiency and compliance for a wide variety of projects. His experience includes financings secured by project revenues, municipal and state agency leases and certificates of participation.

Andrew has prior extensive project finance experience, having advised sponsors in connection with energy, oil, gas and mining projects in a variety of global regions, and, while seconded to a major Japanese trading company, he advised the client on the development of the largest energy from waste project in the Middle East, and managed the development of multiple major energy projects in Southeast Asia.

  • Representing the State Public Works Board of the State of California as disclosure counsel on the collective issuance of approximately US$924 million lease revenue bonds in 2024, approximately US$1.46 billion lease revenue bonds and lease revenue refunding bonds in a competitive sale and negotiated sales in 2023, and approximately US$1.29 billion lease revenue bonds and lease revenue refunding bonds in a competitive sale and negotiated sales in 2022.
  • Representing First-Citizens Bank & Trust Company as purchaser’s counsel on the issuance of approximately US$30 million revenue refunding bonds for the Miami Arts Charter School in Miami, FL in 2024.
  • Representing San Francisco International Airport as lead bond counsel on the collective issuance of approximately US$1.03 billion revenue refunding bonds in 2023 and approximately US$733 million revenue bonds in 2022.
  • Representing the City and County of San Francisco as co-bond counsel on the issuance of approximately US$183 million certificates of participation in 2023.
  • Representing the California Municipal Finance Agency as bond counsel on the collective issuance of approximately US$81.8 million senior revenue bonds and refunding revenue bonds for The Caritas Corporation’s mobile home projects, as well as The Claremont Colleges’ on-campus graduate student housing project in 2023.
  • Representing the California Education Facilities Authority as bond counsel on the issuance of approximately US$41.7 million revenue bonds for University of the Pacific in 2023.
  • Representing First-Citizens Bank & Trust Company and Western Alliance Bank as purchaser’s counsel and credit provider’s counsel on the collective issuance of approximately US$29 million revenue bonds for City Neighbors Charter School in Baltimore, MD and Danny’s Home for Heroes Apartments affordable housing project in Lancaster, CA in 2023.
  • Representing Wells Fargo Bank, N.A. as underwriter’s counsel on the issuance of US$75 million revenue bonds for the University of San Diego in 2022.
  • Representing Scripps College as bond counsel, borrower counsel and special counsel on the issuance of US$50 million tax-exempt loan for the Scripps-Pitzer Science Center project in 2022.
  • Representing the California Educational Facilities Authority as bond counsel on the collective issuance of approximately US$97 million revenue bonds and revenue refunding bonds for Art Center College of Design and University of Redlands in 2022.
  • Representing Western Alliance Bank and Silicon Valley Bank as credit provider counsel on the collective issuance of approximately US$41.5 million revenue bonds and loans for the Park Hills Campus affordable housing project in Denver, CO, Hillbrook School in Los Gatos, CA and Boulder Country Day School in Boulder, CO in 2022.
  • Representing domestic and global clients on mergers and acquisitions and other corporate transactions.
  • Representing a major Japanese conglomerate in multiple cross-border mining and energy investments.
