Charles Lam is a senior associate in our Corporate Practice based in the Hong Kong office. He specialises in cross-border public and private mergers and acquisitions, joint ventures, private equity, initial public offerings (IPOs), secondary fundraisings and other equity capital markets transactions, as well as general compliance and corporate governance.

  • Advising a US-listed global premier brand management company in connection with its acquisitions and disposals of brands in Asia and Europe.
  • Advising a US-listed global consumer brands company in connection with its US$1.2 billion acquisition of a North American licensing business from a Hong Kong-listed company.
  • Advising a global software as a service (SaaS) supply chain management software company in connection with its sale of its financial crime compliance advisory business.
  • Advising a Hong Kong-listed Chinese state-owned real estate enterprise in its major and connected transactions in relation to joint ventures in new metro property projects in mainland China.
  • Advising a Hong Kong-listed Chinese state-owned construction and agricultural machinery manufacturer on its CN¥11.6 billion major disposal of its environmental sanitation business and assets.
  • Advising a Hong Kong-listed Chinese state-owned hypermarkets company on its asset swap transaction for the acquisition of a hypermarket chain and shopping centre in mainland China.
  • Advising a Chinese financial institution on various equity investments in Hong Kong-listed companies.

Public Takeovers

  • Advising New Century Asset Management Limited, manager of New Century REIT, on the very substantial and connected disposal of all assets of New Century REIT and the subsequent termination, liquidation, deauthorisation and delisting from the Hong Kong Stock Exchange – the first successful delisting and deauthorisation of a Hong Kong-listed real estate investment trust (REIT).
  • Advising Zhejiang New Century Hotel Management Co. Ltd. on its HK$1.4 billion privatisation by Kunpeng Asia Limited by way of voluntary general offer.
  • Advising CICC and CLSA, the joint financial adviser to Yue Xiu Enterprises (Holdings) Limited, on the HK$5.1 billion privatisation of Chong Hing Bank Limited by way of a scheme of arrangement.
  • Advising CLSA Capital Markets Limited, as the financial adviser to CITIC Pacific, on the privatisation of Dah Chong Hong from the Hong Kong Stock Exchange.
  • Advising Portico International Holdings Limited on its privatisation from the Hong Kong Stock Exchange by Bluestone Global Holdings Limited by way of a scheme of arrangement.
  • Advising Songbird SG Pte. Ltd. on its mandatory general offer to acquire Tai United Holdings on the Hong Kong Stock Exchange.

Corporate Finance and Capital Markets

  • Advising Guotai Junan Capital Limited and other underwriters on the HK$1.93 billion global offering, IPO and listing of China Risun Group Limited on the Hong Kong Stock Exchange.
  • Advising Zhejiang New Century Hotel Management Co. Ltd. on its HK$1.16 billion IPO and listing on the Hong Kong Stock Exchange.
  • Advising 20 underwriters (including China Galaxy International Securities (Hong Kong) Co. Limited as the sole sponsor, a global coordinator, joint bookrunner and joint lead manager) on the HK$1.521 billion IPO and listing of the shares of Huijing Holdings Company Limited on the Hong Kong Stock Exchange.
  • Advising CNQC International Holdings Limited on its HK$2.6 billion acquisition of a Singapore property development and construction business that constituted a reverse takeover and deemed new listing.
  • Advising the underwriters (including VBG Capital Limited as the sole sponsor, joint bookrunner and joint lead manager) on the HK$130 million IPO and listing of SANVO Fine Chemicals Group Limited on the Hong Kong Stock Exchange.
