Olivia Kelleher is an associate in the Corporate Practice, based in the Sydney office, who assists on corporate and commercial transactions.
Olivia has experience assisting on startup venture capital financing, corporate structuring, corporate governance, domestic and cross-border mergers and acquisitions (M&A), private equity, and commercial transactions, including intellectual property matters and technology sector transactions.
- Assisting a fintech platform with its Series A venture capital round and redomiciliation from Australia to the US.
- Assisting technology company Vapar Pty Ltd on its Series A2 venture capital round.
- Assisting a biotech company on its Series B venture capital round.
- Advising on simple agreement for future equity (SAFE) investments by investors into various media, entertainment and technology startup companies.
- Advising the shareholders of a consumer products company, including a private equity fund, on the sale of the company to foreign acquirers.
- Assisting an entertainment group on its acquisition of an events promotion company.
- Assisting with due diligence for European-based investors, including Equivia GmbH and Oakley Capital Ltd, on their investment into leading Australian domains, hosting and email provider business Webcentral.
- Reviewing software licence agreements and intellectual property assignment deeds.
- Assisting with incorporating new companies, transferring intellectual property and assigning assets in the context of M&A.
- Providing general company secretarial assistance, including preparation of board and shareholder resolutions, Australian Securities and Investments Commission (ASIC) filings and updating company registers.
- Assisting with lender due diligence on a lead mine in Western Australia for potential mezzanine financing, including reviewing third-party supply and offtake agreements, prepayments and tripartite arrangements.
