Anthony Jarvis is a corporate and commercial lawyer with extensive experience in mergers and acquisitions, corporate advisory and commercial contracting. He is a former member of Australia’s Takeovers Panel.

Anthony is an active member of our Sports & Entertainment Group, with experience in disciplinary tribunals across a range of sports and in advising sporting associations and leagues across Australia. He was appointed by the Minister for Sport as a member of the Australian Government National Sports Tribunal.

Anthony is an accredited mediator under the Australian National Mediator Standards with experience in commercial mediations.

  • Acting for a financial services company in relation to its acquisition of another financial services company, including conducting due diligence and drafting of transaction documents.
  • Advising on managed investment scheme (MIS) requirements and the Australian Financial Services Licence (AFSL) application process.
  • Advising on the terms of a bank facility agreement for a public unlisted company.
  • Preparing an information memorandum (IM) for a public unlisted company.
  • Preparing a unit sale deed for the unitholders of unit trust.
  • Acting for a trustee in relation to an AU$35 million convertible note issue for a company listed on the Australian Securities Exchange (ASX), including drafting a trust deed.
  • Acting for a resources company in undertaking an initial public offering (IPO) to list on the Toronto Stock Exchange. Work included drafting the prospectus, providing various pieces of corporate advice, reviewing executive employment agreements and a share sale agreement, and conducting partial due diligence.
  • Drafting a pre-IPO prospectus for a cash-box company seeking eventual listing on the ASX.
  • Advising an ASX-listed resources company on directors’ duties in respect to director’s retention of an investment opportunity offered to the company.
  • Conducting due diligence for an engineering company in relation to its IPO.
  • Acting for a Singaporean company in raising funds in Australia, including reviewing and redrafting an IM.
  • Advising and acting for a purchaser in relation to its acquisition of a franchise gym business.
  • Advising and acting on the restructure of a corporate group, including advice on a complex amendment of a trust deed.
  • Acting in and advising on a shareholder dispute leading to a negotiated outcome and divestment of shares.
  • Drafting and advising on a shareholder agreement.
  • Advising on and drafting the sale of an electrical contracting company to a Chinese purchaser.
  • Acting for the director of a company seeking advice on possible conflict of interest.
  • Advising on motions proposed for shareholders’ meetings for a public unlisted company.
  • Preparing due diligence documentation and the solicitor’s report for a public company to list on the ASX.
  • Preparing a loan and charge agreement for a finance broking company.
  • Advising and negotiating on the dissolution of a partnership of a construction company.
