Lachlan Hallab is a corporate and commercial lawyer with experience advising on venture capital financing, mergers and acquisitions (M&A), corporate advisory, private equity, corporate governance and commercial contracts.

Lachlan has assisted with advising a broad range of clients, including startups, investment consortiums, vendors and purchasers, and has particular experience advising clients from the technology sector.

At the firm, Lachlan works primarily with emerging growth and later stage tech companies, advising and assisting them with venture capital financing, private equity and M&A transactions, corporate governance, intellectual property and technology-related transactions.

  • Advising and assisting on mergers and acquisitions, including the sale and purchase of shares, businesses and assets.

  • Drafting a range of commercial contracts, including shareholder agreements, loan agreements, general security deeds and employee incentive plans.
  • Advising and assisting on a wide range of corporate and commercial matters, including business structuring, shareholder arrangements, security interests and terms and conditions of trade.
  • General company secretarial assistance, including preparation of board and shareholder resolutions, ASIC filings and updating company registers.
  • Assisting with the establishment of trusts and company registrations.
