Denis Oyakawa has practiced for more than 30 years assisting Pacific Rim enterprises in making investments and doing business in the United States.

During his career, he has worked in both Japan and the United States representing clients in acquisitions, partnerships and joint ventures and real estate investments. Denis also has extensive experience with cross-border technology transfers and licensing, sales, agency, distribution and franchise agreements, warranty law, financing and secured transactions and other matters relating to the marketing of goods and services in the United States. Over the years, Denis has assisted in the formation of more than 200 business entities. In addition, Denis actively counsels manufacturers, exporters and importers regarding US trade law, particularly in the defense of antidumping proceedings.

  • Assisting a Japan-based automobile manufacturer in the initial launch of its US-based dealer network including satisfying state license requirements, drafting dealer agreement, establishing dealer performance guidelines and filing franchise registration statements.
  • Representing a non-US manufacturer in the formation of a joint venture with a US-based toy manufacturer to produce child car restraints in the United States.
  • Representing a purchaser in the acquisition of a film library comprised of 348 motion pictures including analysis of ownership and artist rights issues.
  • Representing the seller in the sale of a telemarketing fulfillment services company including sale of warehouse facilities and transfer of leased facilities.
  • Representing the purchaser in the acquisition of a nationally operated chain of 52 steakhouse restaurants.
  • Representing the seller in the sale of a 165 room hotel in Shell Beach, California including the sale of real property, transfer of liquor licenses and resolving Coastal Commission issues relating to the property.
  • Representing the owner in the development of a master planned community consisting of 4,377 dwelling units including single-family and multi-family residential housing tracks plus additional retail areas, community facilities and golf course.
  • Representing the seller in the sale of a manufacturing plant located in Greenville, South Carolina.
  • Representing the seller in the sale of a 103 room hotel complex located in La Jolla, California including the sale of real property, assignment of retail tenant leases and transfer of liquor licenses.
  • Representing the seller in the sale of a nationally marketed line of frozen foods.
  • Representing the purchaser in the acquisition of a food purchasing cooperative.
  • Assisting in numerous distribution and licensing agreements involving such diverse products as electronic components, printers, computers, medical devices, chemicals, cellular phone technology, over-the-counter drugs, automobiles, forklift trucks, petroleum products, office supplies, frozen foods, and baked goods, together with intellectual property rights (patent, trademark and/or trade secrets) associated with many of those products.
  • Defending manufacturers and exporters in anti-dumping investigations conducted by the US government involving brass sheets, cement, cyanuric acid, ferrite cores, forklift trucks, offshore jackets and piles, polyester fabrics, polyvinyl alcohol and titanium sponges from Japan, and iron construction castings from China.
